12.1 Events of Default	12.1 حالات التقصير
The following transactions or occurrences shall constitute material events of default (each an "Event of Default") by the applicable party (the "defaulting party") hereunder such that, in addition to and without prejudice to or limiting any other rights and remedies available to the non-defaulting party at law or in equity the non-defaulting party may elect to immediately and prospectively terminate this Agreement at the sole discretion of the non-defaulting party by giving written notice thereof to the other party within 3 calendar days after the occurrence of an Event of Default, setting forth sufficient facts to establish the existence of such Event of Default.	تُشكل هذه العمليات أو الأحداث حالات تقصيرٍ مادي (يُشار لكلٍ منها بـ"حالة تقصير") من جانب الطرف المنطبق عليه (يُشار إليه بـ"الطرف المقصر") بموجب هذه الاتفاقية, بالإضافة إلى ودون المساس بأي من الحقوق والتعويضات الأخرى المتاحة للطرف غير المقصر أو تقييدها طبقًا للقانون أو قواعد العدالة المطلقة, يجوز للطرف غير المقصر أن يختار إنهاء هذه الاتفاقية على الفور ومستقبلاً بمطلق تقدير الطرف غير المقصر بعد تقديم إخطارًا كتابيًا للطرف الآخر في غضون 3 أيام ميلادية بعد حدوث حالة تقصير, موضحًا الحقائق الكافية لإثبات وجود حالة التقصير هذه.
This Distribution Agreement shall be dissolved and its affairs shall be wound up upon the occurrence of any of the following:	تُفسخ اتفاقية التوزيع وتُصفى شؤونها عند حدوث أي من الأمور التالية:
a. A material breach by a party of any material covenant, material warranty, or material representation contained herein, where such defaulting party fails to cure such breach within 3 calendar days after receipt of written notice thereof, or within such specific cure period as is expressly provided for elsewhere in this Agreement; or	خرق مادي من قبل أي طرف لتعهدًا ماديًا أو ضمانًا ماديًا أو إقرارًا ماديًا وارد في هذه الاتفاقية, وحيث أخفق هذا الطرف المقصر في معالجة هذا الخرق في غضون 3 أيام ميلادية بعد تسلم إخطارًا كتابيًا به, أو في غضون فترة معالجة محددة كما هو منصوص عليه صراحة في أي موضع بهذه الاتفاقية؛ أو

A party makes an attempt to make any arrangement for the benefit of creditors, or a voluntary or involuntary bankruptcy, insolvency or assignment for the benefit of creditors of a party or in the event any action or proceeding is instituted relating to any of the foregoing and the same is not dismissed within [NUMBER] calendar days after such institution; or	‌ب.
c. A failure by either party to make payment of any monies payable pursuant to this Agreement as and when due.	‌ج.
Except as otherwise provided herein, no termination of this Agreement for any reason shall relieve or discharge any party hereto from any duty, obligation or liability hereunder which was accrued as of the date of such termination.	مال يُنص على خلاف ذلك في هذه الاتفاقية’ لا يُعفي أي إنهاء لهذه الاتفاقية لأيٍ من الأسباب أو يُبرئ ذمة أي من طرفا هذه الاتفاقية من أي واج أو التزام أو مسؤولية بموجب هذه الاتفاقية كان مستحقًا اعتبارًا من تاريخ هذا الإنهاء.
12.2 Company Termination	12.2 إنهاء الشركة
This Agreement may be terminated immediately by Company under any of the following conditions:	يجوز للشركة إنهاء هذه الاتفاقية على الفور بموجب أي من الحالات التالية:
a. If one of the parties shall be declared insolvent or bankrupt; or	إذا أعلن أحد الطرفان إعساره أو إفلاسه؛ أو
b. If a petition is filed in any court to declare one of the parties bankrupt or for a reorganization under the Bankruptcy Law or any similar statute and such petition is not dismissed in [NUMBER] days or if a Trustee in Bankruptcy or a Receiver or similar entity is appointed for one of the parties; or	إذا قُدمت عريضة في أي محكمة تُعلن إفلاس أحد الطرفان أو لإعادة تأسيس بموجب قانون الإفلاس أو أي تشريع مشابه ولم يتم رفض في غضون [عدد] أيام أو في حالة تعيين وصي في الإفلاس أو حارس قضائي أو كيان مشابه لأحد الطرفان؛ أو
c. If Distributor does not pay Company within 5 days from the date that any payments are due hereunder;	إذا لم يدفع الموزع للشركة أي مبالغ مستحقة بموجب هذه الاتفاقية في غضون 5 أيام من تاريخ استحقاقها؛
d. If Distributor otherwise materially breaches the terms of this Agreement, and such breach is not cured within 3 days after written notice of such breach is given by Company.	‌د.
12.3 Withdrawal	12.3 الانسحاب
Either party may voluntarily withdraw from this agreement pursuant to any of the following occurrences.	يجوز لكل طرف الانسحاب طوعًا من هذه الاتفاقية بمقتضى أيٍ من الأحداث التالية.
Any such withdrawal shall be done in writing and shall have the effect of terminating the Agreement as of the close of business on that day.	ويتم أي انسحاب كتابيًا ويكون له نفس مفعول إنهاء هذه الاتفاقية اعتبارًا من إغلاق الأعمال في ذلك اليوم.

12.4 Duties Upon Termination	‌د.
a. Provided termination is not a result of a material breach of Sections 13 and 25, the parties agree to continue their cooperation in order to effect an orderly termination of their relationship.	ارتكاب أحد الطرفان تصرفًا غير قانونيًا أو مستحسنًا؛
b. Upon termination, Distributor shall have no right to order or receive any additional copies of the Products and all of Distributor's rights and licenses granted hereunder shall immediately cease.	‌أ.
Within 3 days of termination, Distributor shall return all copies of any promotional materials, marketing literature, written information and reports pertaining to the Products that have been supplied by Company.	‌ب.
c. Written Technical data, drawings, plans and engineering in technical instructions pertaining to the Products are recognized by Distributor to be secret and confidential and to be the property of Company.	تُرد كافة الأموال أو المنتجات المدينة أو الممنوحة مُقدمًا للطرف الدائن في غضون 10 أيام ميلادية بعد تسلم إخطارًا كتابيًا بالإنهاء من جانب الطرف القائم بالإنهاء.
Those items shall at all times and for all purposes be held by Distributor in a confidential capacity and shall not, without the prior written consent of Company,	13. معلومات سرية

Company may require as a condition to any disclosure by Distributor pursuant to this Section that any salaried employee to whom disclosure is to be made sign a secrecy agreement, enforceable by Company, containing terms satisfactory to Company.	يجوز للشركة أن تطلب, كشرط لأي إفصاح من قبل الموزع بمقتضى هذا القسم, بأن يوقع كل موظف مأجور يتم الإفصاح عنها له اتفاق سرية, قابل للنفاذ من قبل الشركة, ويحتوي على شروطِ مقبولة من الشركة.
14. TERMS OF PURCHASE AND SALE OF PRODUCTS	14. شروط شراء وبيع المنتجات
a. Distributor shall purchase its requirements for the Products from Company.	‌أ.

(i) purchasing and maintaining an inventory of Products that is sufficient to enable Distributor to perform its obligations hereunder, and	وتشمل هذه المتطلبات (1) شراء مخزون كافٍ من المنتجات والاحتفاظ به حتى يتمكن الموزع من أداء التزاماته بموجب هذه الاتفاقية, و(2) على الأقل نموذج توضيحي واحد (1) على الأقل من المنتجات والملحقات.
(ii) at least one (1) demonstration model of the Goods and Accessories.	‌ب.
b. Each order for Products submitted by Distributor to Company shall be subject to the written acceptance of Company, and Company may, in its own discretion, accept or reject any order for Products without obligation or liability to Distributor by reason of its rejection of any such request.	تخضع كل طلبية للمنتجات يُقدمها الموزع للشركة للقبول الكتابي من جانب الشركة, ويجوز للشركة, بمطلق تقديرها, قبول أو رفض أي طلبية للمنتجات دون التزامٍ أو مسؤولية للموزع بسبب رفضها لهذا الطلب.
c. Company shall supply to Distributor sufficient Products to enable Distributor to meet the full demand for Products in the Territory.	‌ج.
d. All orders for Products transmitted by Distributor to Company shall be deemed to be accepted by Company at the time such orders are received by Company to the extent that they are in compliance with the terms of this Agreement and Company shall perform in accordance with all accepted orders.	‌د.
Company shall confirm its receipt and acceptance of each order written 15 days of receipt of the order.	تؤكد الشركة تسلمها وقبولها لكل طلبية كتابية في غضون 15 يومًا بعد تسلمها الطلبية.
e. Purchases for Resale only.	‌ه.
All Products purchased by Distributor shall be purchased solely for commercial resale or lease, excepting those Products reasonably required by Distributor for advertising and demonstration purposes.	يجب أن يكون الغرض من شراء كافة المنتجات التي تم شراؤها إعادة البيع التجاري لها أو تأجيرها فقط, باستثناء تلك المنتجات المطلوبة من الموزع على نحوٍ معقول لأغراض الإعلان والاستعراض.
15. ORDER PROCEDURE	15. إجراء الطلبية
a. Each order for Products issued by Distributor to Company under this Agreement shall identify that it is an order and shall further set forth the delivery date or dates and the description and quantity of Products which are to be delivered on each of such dates.	‌أ.
An order for Products shall not provide a delivery date less than 30 days after the date that order is delivered to Company.	يجب ألا تُقدم طلبية المنتجات موعد تسليم يقل عن 30 يومًا من تاريخ تسليم هذه الطلبية للشركة.
b. The individual contracts for the sale of Products formed by Distributor's submission of orders to Company pursuant to the terms and conditions hereof shall automatically incorporate, to the extent applicable, the terms and conditions hereof, shall be subject only to those terms and conditions and shall not be subject to any conflicting or additional terms included in any documents exchanged in connection therewith.	تؤسس العقود الفردية لبيع المنتجات التي تُحرر بموجب تقديم الموزع للطلبيات للشركة بموجب شروط واحكام هذه الاتفاقية, تلقائيًا إلى الحد المطبق, شروط وأحكام هذه الاتفاقية, وتخضع فقط لتلك الشروط والأحكام ولا تخضع لأي شروطٍ متعارضة أو إضافية المضمّنة في أية وثائق يتم تبادلها فيما يتعلق بهذه الاتفاقية.
16. CANCELLATION OF ORDERS	16. إلغاء الطلبيات
All cancellation of orders by Distributor shall be in writing, or if not initially in writing, shall be confirmed in writing.	يجب أن تتم كافة عمليات إلغاء الطلبيات من قبل الموزع كتابيًا, أو إذا لم تكن كتابية في بدء الامر, يجب أن تأكيدها كتابيًا.
If Distributor cancels an order, which has been accepted by Company, Distributor shall reimburse Company for any cost incident to such order incurred by Company prior to the time it was informed of the cancellation.	في حالة إلفاء الموزع إحدى الطلبيات, التي قبلتها الشركة, يتعين على الموزع تعويض الشركة عن أي تكلفة ناشئة عن هذه الطلبية تكبدتها الشركة قبل إبلاغها بالإلغاء.
17. PACKING	17. التعبئة
Company shall, at its expense, pack all Products in accordance with Company's standard packing procedure, which shall be suitable to permit shipment of the Products to the Territory; provided, however, that if Distributor requests a modification of those procedures, Company shall make the requested modification and Distributor shall bear any reasonable expenses incurred by Company in complying with such modified procedures which are in excess of the expenses which Company would have incurred in following its standard procedures.	يجب على الشركة, على نفقتها الخاصة تعبئة كافة المنتجات وفقًا لإجراءات التعبئة القياسية, والتي يجب أن تكون مناسبة لتسمح بشحن المنتجات إلى الإقليم؛ مع ذلك, شريطة أن في حالة طلب الموزع تعديلاً لهذه الإجراءات, يجب على الشركة القيام بالتعديل المطلوب ولا يتحمل الموزع أي نفقات معقولة تكبدتها الشركة في الالتزام بهذا التعديل للإجراءات والتي تزيد في النفقات عن تلك التي قد تتكبدها الشركة في حالة اتباع إجراءاتها القياسية.
18. DELIVERY: TITLE AND RISK OF LOSS	18. التسليم:
All deliveries of Products sold by Company to Distributor pursuant to this Agreement shall be made F.O.B. the Delivery Point, and title to and risk of loss of Products shall pass from Company to Distributor at the Delivery Point.	تتم كافة عمليات التسليم للمنتجات التي باعتها الشركة للموزع بموجب هذه الاتفاقية بطريقة "التسليم على ظهر السفينة".
Distributor shall be responsible for arranging all transportation of Products, but if requested by Distributor, Company shall, at Distributor's expense, assist Distributor in making such arrangements.	يتحمل الموزع المسؤولية عن الترتيب لنقل المنتجات, لكن يتعين أن تُساعد الشركة الموزع, بناءً على طلب الموزع وعلى نفقته الخاصة, في القيام بهذه الترتيبات.

Payment shall be made in Dirhams to a bank account to be notified in writing by Company to Distributor.	يتم الدفع بالدرهم الإماراتي للحساب المصرفي الذي تُبلغه الشركة للموزع كتابيًا.
21. ENTIRE AGREEMENT	21. الاتفاق الكامل
This Agreement contains the entire understanding of the parties and there are no commitments, agreements, or understandings between the parties other than those expressly set forth herein.	تحتوي هذه الاتفاقية على الاتفاق الكامل من الطرفين ولا توجد تعهدات أو اتفاقيات أو اتفاقات بين الطرفين بخلاف تلك الموضحة صراحة في هذه الاتفاقية.
This agreement shall not be altered, waived, modified, or amended except in writing signed by the parties hereto and notarized.	يجب عدم تبديل هذه الاتفاقية أو التنازل عنها أو تغييرها أو تعديلها مالم يتم ذلك كتابيًا والتوقيع عليه من طرفي الاتفاقية وتوثيقة بسجل كاتب العدل.
22. ARBITRATION	22. التحكيم
Any controversy or claim arising out of or relating to this contract or the breach thereof shall be settled by arbitration to be held in the Dubai UAE, in accordance with the law in this jurisdiction, and judgment upon the award rendered by the arbitrators may be entered in any Court having jurisdiction thereof.	يتم تسوية أي نزاع أو ادعاء ينشأ عن أو يتعلق بهذا العقد أو الإخلال به عن طريق التحكيم الذي يُعقد في دبي بالإمارات العربية المتحدة, وفقًا للقانون في هذا الاختصاص القضائي, ويجوز لأي محكمة ذات اختصاص قضائي بهذه الاتفاقية إصدار حكمًا استنادًا إلى القرار الصادر عن المحكمين.
23. SECRECY	23. السرية
Distributor agrees not to disclose or use, except as required in Distributor's duties, at any time, any information disclosed to or acquired by Distributor during the term of this contract.	يوافق الموزع على هدم الإفصاح أو استخدام, باستثناء في أداء الموزع لواجباته, في أي وقت, أي معلومات تم الإفصاح عنها أو حصل عليها الموزع خلال مدة هذا العقد.
Distributor agrees that all confidential information shall be deemed to be and shall be treated as a sole and exclusive property of the Company.	يوافق الموزع على أن يعتبر أو يعامل كافة المعلومات السرية على أنها ملكية حصرية وفردية للشركة.

If a petition is filed in any court to declare one of the parties bankrupt or for a reorganization under the Bankruptcy Law or any similar statute and such petition is not dismissed in [NUMBER] days or if a Trustee in Bankruptcy or a Receiver or similar entity is appointed for one of the parties; or	إذا قُدمت عريضة في أي محكمة تُعلن إفلاس أحد الطرفان أو لإعادة تأسيس بموجب قانون الإفلاس أو أي تشريع مشابه ولم يتم رفض في غضون [عدد] أيام أو في حالة تعيين وصي في الإفلاس أو حارس قضائي أو كيان مشابه لأحد الطرفان؛ أو

b. Each order for Products submitted by Distributor to Company shall be subject to the written acceptance of Company, and Company may, in its own discretion, accept or reject any order for Products without obligation or liability to Distributor by reason of its rejection of any such request.	تخضع كل طلبية للمنتجات يُقدمها الموزع للشركة للقبول الكتابي من جانب الشركة, ويجوز للشركة, بمطلق تقديرها, قبول أو رفض أي طلبية للمنتجات دون التزامٍ أو مسؤولية للموزع بسبب رفضها لهذا الطلب.
c. Company shall supply to Distributor sufficient Products to enable Distributor to meet the full demand for Products in the Territory.	‌ج.
d. All orders for Products transmitted by Distributor to Company shall be deemed to be accepted by Company at the time such orders are received by Company to the extent that they are in compliance with the terms of this Agreement and Company shall perform in accordance with all accepted orders.	‌د.

e. Purchases for Resale only.	‌ه.

An order for Products shall not provide a delivery date less than 30 days after the date that order is delivered to Company.	يجب ألا تُقدم طلبية المنتجات موعد تسليم يقل عن 30 يومًا من تاريخ تسليم هذه الطلبية للشركة.
b. 16. CANCELLATION OF ORDERS	16. إلغاء الطلبيات
All cancellation of orders by Distributor shall be in writing, or if not initially in writing, shall be confirmed in writing.	يجب أن تتم كافة عمليات إلغاء الطلبيات من قبل الموزع كتابيًا, أو إذا لم تكن كتابية في بدء الامر, يجب أن تأكيدها كتابيًا.
If Distributor cancels an order, which has been accepted by Company, Distributor shall reimburse Company for any cost incident to such order incurred by Company prior to the time it was informed of the cancellation.	في حالة إلفاء الموزع إحدى الطلبيات, التي قبلتها الشركة, يتعين على الموزع تعويض الشركة عن أي تكلفة ناشئة عن هذه الطلبية تكبدتها الشركة قبل إبلاغها بالإلغاء.

18. DELIVERY: TITLE AND RISK OF LOSS	18. التسليم:
All deliveries of Products sold by Company to Distributor pursuant to this Agreement shall be made F.O.B. the Delivery Point, and title to and risk of loss of Products shall pass from Company to Distributor at the Delivery Point.	تتم كافة عمليات التسليم للمنتجات التي باعتها الشركة للموزع بموجب هذه الاتفاقية بطريقة "التسليم على ظهر السفينة".

21. ENTIRE AGREEMENT	21. الاتفاق الكامل
This Agreement contains the entire understanding of the parties and there are no commitments, agreements, or understandings between the parties other than those expressly set forth herein.	تحتوي هذه الاتفاقية على الاتفاق الكامل من الطرفين ولا توجد تعهدات أو اتفاقيات أو اتفاقات بين الطرفين بخلاف تلك الموضحة صراحة في هذه الاتفاقية.
This agreement shall not be altered, waived, modified, or amended except in writing signed by the parties hereto and notarized.	يجب عدم تبديل هذه الاتفاقية أو التنازل عنها أو تغييرها أو تعديلها مالم يتم ذلك كتابيًا والتوقيع عليه من طرفي الاتفاقية وتوثيقة بسجل كاتب العدل.
22. ARBITRATION	22. التحكيم
Any controversy or claim arising out of or relating to this contract or the breach thereof shall be settled by arbitration to be held in the Dubai UAE, in accordance with the law in this jurisdiction, and judgment upon the award rendered by the arbitrators may be entered in any Court having jurisdiction thereof.	يتم تسوية أي نزاع أو ادعاء ينشأ عن أو يتعلق بهذا العقد أو الإخلال به عن طريق التحكيم الذي يُعقد في دبي بالإمارات العربية المتحدة, وفقًا للقانون في هذا الاختصاص القضائي, ويجوز لأي محكمة ذات اختصاص قضائي بهذه الاتفاقية إصدار حكمًا استنادًا إلى القرار الصادر عن المحكمين.
23. SECRECY	23. السرية
Distributor agrees not to disclose or use, except as required in Distributor's duties, at any time, any information disclosed to or acquired by Distributor during the term of this contract.	يوافق الموزع على هدم الإفصاح أو استخدام, باستثناء في أداء الموزع لواجباته, في أي وقت, أي معلومات تم الإفصاح عنها أو حصل عليها الموزع خلال مدة هذا العقد.

14. TERMS OF PURCHASE AND SALE OF PRODUCTS	14. شروط شراء وبيع المنتجات
a. Distributor shall purchase its requirements for the Products from Company.	‌أ.
Such requirements shall include	يشتري الموزع متطلباته من المنتجات من الشركة.
(i) purchasing and maintaining an inventory of Products that is sufficient to enable Distributor to perform its obligations hereunder, and	وتشمل هذه المتطلبات (1) شراء مخزون كافٍ من المنتجات والاحتفاظ به حتى يتمكن الموزع من أداء التزاماته بموجب هذه الاتفاقية, و(2) على الأقل نموذج توضيحي واحد (1) على الأقل من المنتجات والملحقات.
(ii) at least one (1) demonstration model of the Goods and Accessories.	‌ب.
b. Each order for Products submitted by Distributor to Company shall be subject to the written acceptance of Company, and Company may, in its own discretion, accept or reject any order for Products without obligation or liability to Distributor by reason of its rejection of any such request.	تخضع كل طلبية للمنتجات يُقدمها الموزع للشركة للقبول الكتابي من جانب الشركة, ويجوز للشركة, بمطلق تقديرها, قبول أو رفض أي طلبية للمنتجات دون التزامٍ أو مسؤولية للموزع بسبب رفضها لهذا الطلب.
c. Company shall supply to Distributor sufficient Products to enable Distributor to meet the full demand for Products in the Territory.	‌ج.
d. All orders for Products transmitted by Distributor to Company shall be deemed to be accepted by Company at the time such orders are received by Company to the extent that they are in compliance with the terms of this Agreement and Company shall perform in accordance with all accepted orders.	‌د.
Company shall confirm its receipt and acceptance of each order written 15 days of receipt of the order.	تؤكد الشركة تسلمها وقبولها لكل طلبية كتابية في غضون 15 يومًا بعد تسلمها الطلبية.
e. Purchases for Resale only.	‌ه.

15. ORDER PROCEDURE	15. إجراء الطلبية
a. Each order for Products issued by Distributor to Company under this Agreement shall identify that it is an order and shall further set forth the delivery date or dates and the description and quantity of Products which are to be delivered on each of such dates.	‌أ.
An order for Products shall not provide a delivery date less than 30 days after the date that order is delivered to Company.	يجب ألا تُقدم طلبية المنتجات موعد تسليم يقل عن 30 يومًا من تاريخ تسليم هذه الطلبية للشركة.
b. The individual contracts for the sale of Products formed by Distributor's submission of orders to Company pursuant to the terms and conditions hereof shall automatically incorporate, to the extent applicable, the terms and conditions hereof, shall be subject only to those terms and conditions and shall not be subject to any conflicting or additional terms included in any documents exchanged in connection therewith.	تؤسس العقود الفردية لبيع المنتجات التي تُحرر بموجب تقديم الموزع للطلبيات للشركة بموجب شروط واحكام هذه الاتفاقية, تلقائيًا إلى الحد المطبق, شروط وأحكام هذه الاتفاقية, وتخضع فقط لتلك الشروط والأحكام ولا تخضع لأي شروطٍ متعارضة أو إضافية المضمّنة في أية وثائق يتم تبادلها فيما يتعلق بهذه الاتفاقية.
16. CANCELLATION OF ORDERS	16. إلغاء الطلبيات
All cancellation of orders by Distributor shall be in writing, or if not initially in writing, shall be confirmed in writing.	يجب أن تتم كافة عمليات إلغاء الطلبيات من قبل الموزع كتابيًا, أو إذا لم تكن كتابية في بدء الامر, يجب أن تأكيدها كتابيًا.
If Distributor cancels an order, which has been accepted by Company, Distributor shall reimburse Company for any cost incident to such order incurred by Company prior to the time it was informed of the cancellation.	في حالة إلفاء الموزع إحدى الطلبيات, التي قبلتها الشركة, يتعين على الموزع تعويض الشركة عن أي تكلفة ناشئة عن هذه الطلبية تكبدتها الشركة قبل إبلاغها بالإلغاء.

18. DELIVERY: TITLE AND RISK OF LOSS	18. التسليم:
All deliveries of Products sold by Company to Distributor pursuant to this Agreement shall be made F.O.B. the Delivery Point, and title to and risk of loss of Products shall pass from Company to Distributor at the Delivery Point.	تتم كافة عمليات التسليم للمنتجات التي باعتها الشركة للموزع بموجب هذه الاتفاقية بطريقة "التسليم على ظهر السفينة".
Distributor shall be responsible for arranging all transportation of Products, but if requested by Distributor, Company shall, at Distributor's expense, assist Distributor in making such arrangements.	يتحمل الموزع المسؤولية عن الترتيب لنقل المنتجات, لكن يتعين أن تُساعد الشركة الموزع, بناءً على طلب الموزع وعلى نفقته الخاصة, في القيام بهذه الترتيبات.

Promptly upon the receipt of a shipment of Products, Distributor shall examine the shipment to determine whether any item or items included in the shipment are in short supply, defective or damaged.	فور تسلم شحنة المنتجات, يتعين على الموزع فحص الشحنة لتحديد ما إذا كان هناك عجز في التوريد أو أعطال أو تلف في أي صنف أو أصناف مضمنة في الشحنة.
Within 5 days of receipt of the shipment, Distributor shall notify Company in writing of any shortages, defects or damage which Distributor claims existed at the time of delivery.	في غضون 5 أيام من تسلم الشحنة, يُخطر الموزع الشركة كتابيًا بأي عجز أو أعطال أو تلف يدعي الموزع وجوده في وقت التسليم.

for those Products.	ويدفع الموزع قيمة كل فاتورة صحيحة منها في غضون 30 يومًا بعد تسلم الموزع لتلك الفاتورة.
Payment shall be made in Dirhams to a bank account to be notified in writing by Company to Distributor.	يتم الدفع بالدرهم الإماراتي للحساب المصرفي الذي تُبلغه الشركة للموزع كتابيًا.
21. ENTIRE AGREEMENT	21. الاتفاق الكامل
This Agreement contains the entire understanding of the parties and there are no commitments, agreements, or understandings between the parties other than those expressly set forth herein.	تحتوي هذه الاتفاقية على الاتفاق الكامل من الطرفين ولا توجد تعهدات أو اتفاقيات أو اتفاقات بين الطرفين بخلاف تلك الموضحة صراحة في هذه الاتفاقية.
This agreement shall not be altered, waived, modified, or amended except in writing signed by the parties hereto and notarized.	يجب عدم تبديل هذه الاتفاقية أو التنازل عنها أو تغييرها أو تعديلها مالم يتم ذلك كتابيًا والتوقيع عليه من طرفي الاتفاقية وتوثيقة بسجل كاتب العدل.
22. ARBITRATION	22. التحكيم
Any controversy or claim arising out of or relating to this contract or the breach thereof shall be settled by arbitration to be held in the Dubai UAE, in accordance with the law in this jurisdiction, and judgment upon the award rendered by the arbitrators may be entered in any Court having jurisdiction thereof.	يتم تسوية أي نزاع أو ادعاء ينشأ عن أو يتعلق بهذا العقد أو الإخلال به عن طريق التحكيم الذي يُعقد في دبي بالإمارات العربية المتحدة, وفقًا للقانون في هذا الاختصاص القضائي, ويجوز لأي محكمة ذات اختصاص قضائي بهذه الاتفاقية إصدار حكمًا استنادًا إلى القرار الصادر عن المحكمين.
23. SECRECY	23. السرية
Distributor agrees not to disclose or use, except as required in Distributor's duties, at any time, any information disclosed to or acquired by Distributor during the term of this contract.	يوافق الموزع على هدم الإفصاح أو استخدام, باستثناء في أداء الموزع لواجباته, في أي وقت, أي معلومات تم الإفصاح عنها أو حصل عليها الموزع خلال مدة هذا العقد.

This Distribution Agreement shall be dissolved and its affairs shall be wound up upon the occurrence of any of the following:	تُفسخ اتفاقية التوزيع وتُصفى شؤونها عند حدوث أي من الأمور التالية:
a. c. A failure by either party to make payment of any monies payable pursuant to this Agreement as and when due.	‌ج.

12.2 Company Termination	12.2 إنهاء الشركة
This Agreement may be terminated immediately by Company under any of the following conditions:	يجوز للشركة إنهاء هذه الاتفاقية على الفور بموجب أي من الحالات التالية:
a. If one of the parties shall be declared insolvent or bankrupt; or	إذا أعلن أحد الطرفان إعساره أو إفلاسه؛ أو
b. If a petition is filed in any court to declare one of the parties bankrupt or for a reorganization under the Bankruptcy Law or any similar statute and such petition is not dismissed in [NUMBER] days or if a Trustee in Bankruptcy or a Receiver or similar entity is appointed for one of the parties; or	إذا قُدمت عريضة في أي محكمة تُعلن إفلاس أحد الطرفان أو لإعادة تأسيس بموجب قانون الإفلاس أو أي تشريع مشابه ولم يتم رفض في غضون [عدد] أيام أو في حالة تعيين وصي في الإفلاس أو حارس قضائي أو كيان مشابه لأحد الطرفان؛ أو

12.3 Withdrawal	12.3 الانسحاب
Either party may voluntarily withdraw from this agreement pursuant to any of the following occurrences.	يجوز لكل طرف الانسحاب طوعًا من هذه الاتفاقية بمقتضى أيٍ من الأحداث التالية.

12.4 Duties Upon Termination	‌د.

b. Upon termination, Distributor shall have no right to order or receive any additional copies of the Products and all of Distributor's rights and licenses granted hereunder shall immediately cease.	‌أ.
Within 3 days of termination, Distributor shall return all copies of any promotional materials, marketing literature, written information and reports pertaining to the Products that have been supplied by Company.	‌ب.
c. All Products purchased by Distributor shall be purchased solely for commercial resale or lease, excepting those Products reasonably required by Distributor for advertising and demonstration purposes.	يجب أن يكون الغرض من شراء كافة المنتجات التي تم شراؤها إعادة البيع التجاري لها أو تأجيرها فقط, باستثناء تلك المنتجات المطلوبة من الموزع على نحوٍ معقول لأغراض الإعلان والاستعراض.
15. ORDER PROCEDURE	15. إجراء الطلبية
a. Each order for Products issued by Distributor to Company under this Agreement shall identify that it is an order and shall further set forth the delivery date or dates and the description and quantity of Products which are to be delivered on each of such dates.	‌أ.
An order for Products shall not provide a delivery date less than 30 days after the date that order is delivered to Company.	يجب ألا تُقدم طلبية المنتجات موعد تسليم يقل عن 30 يومًا من تاريخ تسليم هذه الطلبية للشركة.
b. The individual contracts for the sale of Products formed by Distributor's submission of orders to Company pursuant to the terms and conditions hereof shall automatically incorporate, to the extent applicable, the terms and conditions hereof, shall be subject only to those terms and conditions and shall not be subject to any conflicting or additional terms included in any documents exchanged in connection therewith.	تؤسس العقود الفردية لبيع المنتجات التي تُحرر بموجب تقديم الموزع للطلبيات للشركة بموجب شروط واحكام هذه الاتفاقية, تلقائيًا إلى الحد المطبق, شروط وأحكام هذه الاتفاقية, وتخضع فقط لتلك الشروط والأحكام ولا تخضع لأي شروطٍ متعارضة أو إضافية المضمّنة في أية وثائق يتم تبادلها فيما يتعلق بهذه الاتفاقية.
16. CANCELLATION OF ORDERS	16. إلغاء الطلبيات
All cancellation of orders by Distributor shall be in writing, or if not initially in writing, shall be confirmed in writing.	يجب أن تتم كافة عمليات إلغاء الطلبيات من قبل الموزع كتابيًا, أو إذا لم تكن كتابية في بدء الامر, يجب أن تأكيدها كتابيًا.
If Distributor cancels an order, which has been accepted by Company, Distributor shall reimburse Company for any cost incident to such order incurred by Company prior to the time it was informed of the cancellation.	في حالة إلفاء الموزع إحدى الطلبيات, التي قبلتها الشركة, يتعين على الموزع تعويض الشركة عن أي تكلفة ناشئة عن هذه الطلبية تكبدتها الشركة قبل إبلاغها بالإلغاء.

18. DELIVERY: TITLE AND RISK OF LOSS	18. التسليم:
All deliveries of Products sold by Company to Distributor pursuant to this Agreement shall be made F.O.B. the Delivery Point, and title to and risk of loss of Products shall pass from Company to Distributor at the Delivery Point.	تتم كافة عمليات التسليم للمنتجات التي باعتها الشركة للموزع بموجب هذه الاتفاقية بطريقة "التسليم على ظهر السفينة".

Promptly upon the receipt of a shipment of Products, Distributor shall examine the shipment to determine whether any item or items included in the shipment are in short supply, defective or damaged.	فور تسلم شحنة المنتجات, يتعين على الموزع فحص الشحنة لتحديد ما إذا كان هناك عجز في التوريد أو أعطال أو تلف في أي صنف أو أصناف مضمنة في الشحنة.

21. ENTIRE AGREEMENT	21. الاتفاق الكامل
This Agreement contains the entire understanding of the parties and there are no commitments, agreements, or understandings between the parties other than those expressly set forth herein.	تحتوي هذه الاتفاقية على الاتفاق الكامل من الطرفين ولا توجد تعهدات أو اتفاقيات أو اتفاقات بين الطرفين بخلاف تلك الموضحة صراحة في هذه الاتفاقية.
This agreement shall not be altered, waived, modified, or amended except in writing signed by the parties hereto and notarized.	يجب عدم تبديل هذه الاتفاقية أو التنازل عنها أو تغييرها أو تعديلها مالم يتم ذلك كتابيًا والتوقيع عليه من طرفي الاتفاقية وتوثيقة بسجل كاتب العدل.
22. ARBITRATION	22. التحكيم
Any controversy or claim arising out of or relating to this contract or the breach thereof shall be settled by arbitration to be held in the Dubai UAE, in accordance with the law in this jurisdiction, and judgment upon the award rendered by the arbitrators may be entered in any Court having jurisdiction thereof.	يتم تسوية أي نزاع أو ادعاء ينشأ عن أو يتعلق بهذا العقد أو الإخلال به عن طريق التحكيم الذي يُعقد في دبي بالإمارات العربية المتحدة, وفقًا للقانون في هذا الاختصاص القضائي, ويجوز لأي محكمة ذات اختصاص قضائي بهذه الاتفاقية إصدار حكمًا استنادًا إلى القرار الصادر عن المحكمين.
23. SECRECY	23. السرية
Distributor agrees not to disclose or use, except as required in Distributor's duties, at any time, any information disclosed to or acquired by Distributor during the term of this contract.	يوافق الموزع على هدم الإفصاح أو استخدام, باستثناء في أداء الموزع لواجباته, في أي وقت, أي معلومات تم الإفصاح عنها أو حصل عليها الموزع خلال مدة هذا العقد.

a. c. A failure by either party to make payment of any monies payable pursuant to this Agreement as and when due.	‌ج.

12.2 Company Termination	12.2 إنهاء الشركة
This Agreement may be terminated immediately by Company under any of the following conditions:	يجوز للشركة إنهاء هذه الاتفاقية على الفور بموجب أي من الحالات التالية:
a. If one of the parties shall be declared insolvent or bankrupt; or	إذا أعلن أحد الطرفان إعساره أو إفلاسه؛ أو
b. c. All deliveries of Products sold by Company to Distributor pursuant to this Agreement shall be made F.O.B. the Delivery Point, and title to and risk of loss of Products shall pass from Company to Distributor at the Delivery Point.	تتم كافة عمليات التسليم للمنتجات التي باعتها الشركة للموزع بموجب هذه الاتفاقية بطريقة "التسليم على ظهر السفينة".

19. INSPECTION AND ACCEPTANCE	19. الفحص والقبول
Promptly upon the receipt of a shipment of Products, Distributor shall examine the shipment to determine whether any item or items included in the shipment are in short supply, defective or damaged.	فور تسلم شحنة المنتجات, يتعين على الموزع فحص الشحنة لتحديد ما إذا كان هناك عجز في التوريد أو أعطال أو تلف في أي صنف أو أصناف مضمنة في الشحنة.
Within 5 days of receipt of the shipment, Distributor shall notify Company in writing of any shortages, defects or damage which Distributor claims existed at the time of delivery.	في غضون 5 أيام من تسلم الشحنة, يُخطر الموزع الشركة كتابيًا بأي عجز أو أعطال أو تلف يدعي الموزع وجوده في وقت التسليم.

21. ENTIRE AGREEMENT	21. الاتفاق الكامل
This Agreement contains the entire understanding of the parties and there are no commitments, agreements, or understandings between the parties other than those expressly set forth herein.	تحتوي هذه الاتفاقية على الاتفاق الكامل من الطرفين ولا توجد تعهدات أو اتفاقيات أو اتفاقات بين الطرفين بخلاف تلك الموضحة صراحة في هذه الاتفاقية.
This agreement shall not be altered, waived, modified, or amended except in writing signed by the parties hereto and notarized.	يجب عدم تبديل هذه الاتفاقية أو التنازل عنها أو تغييرها أو تعديلها مالم يتم ذلك كتابيًا والتوقيع عليه من طرفي الاتفاقية وتوثيقة بسجل كاتب العدل.
22. ARBITRATION	22. التحكيم
Any controversy or claim arising out of or relating to this contract or the breach thereof shall be settled by arbitration to be held in the Dubai UAE, in accordance with the law in this jurisdiction, and judgment upon the award rendered by the arbitrators may be entered in any Court having jurisdiction thereof.	يتم تسوية أي نزاع أو ادعاء ينشأ عن أو يتعلق بهذا العقد أو الإخلال به عن طريق التحكيم الذي يُعقد في دبي بالإمارات العربية المتحدة, وفقًا للقانون في هذا الاختصاص القضائي, ويجوز لأي محكمة ذات اختصاص قضائي بهذه الاتفاقية إصدار حكمًا استنادًا إلى القرار الصادر عن المحكمين.
23. SECRECY	23. السرية
Distributor agrees not to disclose or use, except as required in Distributor's duties, at any time, any information disclosed to or acquired by Distributor during the term of this contract.	يوافق الموزع على هدم الإفصاح أو استخدام, باستثناء في أداء الموزع لواجباته, في أي وقت, أي معلومات تم الإفصاح عنها أو حصل عليها الموزع خلال مدة هذا العقد.

a. c. A failure by either party to make payment of any monies payable pursuant to this Agreement as and when due.	‌ج.

12.2 Company Termination	12.2 إنهاء الشركة
This Agreement may be terminated immediately by Company under any of the following conditions:	يجوز للشركة إنهاء هذه الاتفاقية على الفور بموجب أي من الحالات التالية:
a. If one of the parties shall be declared insolvent or bankrupt; or	إذا أعلن أحد الطرفان إعساره أو إفلاسه؛ أو
b. If a petition is filed in any court to declare one of the parties bankrupt or for a reorganization under the Bankruptcy Law or any similar statute and such petition is not dismissed in [NUMBER] days or if a Trustee in Bankruptcy or a Receiver or similar entity is appointed for one of the parties; or	إذا قُدمت عريضة في أي محكمة تُعلن إفلاس أحد الطرفان أو لإعادة تأسيس بموجب قانون الإفلاس أو أي تشريع مشابه ولم يتم رفض في غضون [عدد] أيام أو في حالة تعيين وصي في الإفلاس أو حارس قضائي أو كيان مشابه لأحد الطرفان؛ أو

12.3 Withdrawal	12.3 الانسحاب
Either party may voluntarily withdraw from this agreement pursuant to any of the following occurrences.	يجوز لكل طرف الانسحاب طوعًا من هذه الاتفاقية بمقتضى أيٍ من الأحداث التالية.

12.4 Duties Upon Termination	‌د.

b. Upon termination, Distributor shall have no right to order or receive any additional copies of the Products and all of Distributor's rights and licenses granted hereunder shall immediately cease.	‌أ.
Within 3 days of termination, Distributor shall return all copies of any promotional materials, marketing literature, written information and reports pertaining to the Products that have been supplied by Company.	‌ب.
c. Those items shall at all times and for all purposes be held by Distributor in a confidential capacity and shall not, without the prior written consent of Company,	13. معلومات سرية

a. Distributor shall purchase its requirements for the Products from Company.	‌أ.

(ii) at least one (1) demonstration model of the Goods and Accessories.	‌ب.
b. Each order for Products submitted by Distributor to Company shall be subject to the written acceptance of Company, and Company may, in its own discretion, accept or reject any order for Products without obligation or liability to Distributor by reason of its rejection of any such request.	تخضع كل طلبية للمنتجات يُقدمها الموزع للشركة للقبول الكتابي من جانب الشركة, ويجوز للشركة, بمطلق تقديرها, قبول أو رفض أي طلبية للمنتجات دون التزامٍ أو مسؤولية للموزع بسبب رفضها لهذا الطلب.
c. Company shall supply to Distributor sufficient Products to enable Distributor to meet the full demand for Products in the Territory.	‌ج.
d. All orders for Products transmitted by Distributor to Company shall be deemed to be accepted by Company at the time such orders are received by Company to the extent that they are in compliance with the terms of this Agreement and Company shall perform in accordance with all accepted orders.	‌د.
Company shall confirm its receipt and acceptance of each order written 15 days of receipt of the order.	تؤكد الشركة تسلمها وقبولها لكل طلبية كتابية في غضون 15 يومًا بعد تسلمها الطلبية.
e. Purchases for Resale only.	‌ه.

15. ORDER PROCEDURE	15. إجراء الطلبية
a. Each order for Products issued by Distributor to Company under this Agreement shall identify that it is an order and shall further set forth the delivery date or dates and the description and quantity of Products which are to be delivered on each of such dates.	‌أ.
An order for Products shall not provide a delivery date less than 30 days after the date that order is delivered to Company.	يجب ألا تُقدم طلبية المنتجات موعد تسليم يقل عن 30 يومًا من تاريخ تسليم هذه الطلبية للشركة.
b. The individual contracts for the sale of Products formed by Distributor's submission of orders to Company pursuant to the terms and conditions hereof shall automatically incorporate, to the extent applicable, the terms and conditions hereof, shall be subject only to those terms and conditions and shall not be subject to any conflicting or additional terms included in any documents exchanged in connection therewith.	تؤسس العقود الفردية لبيع المنتجات التي تُحرر بموجب تقديم الموزع للطلبيات للشركة بموجب شروط واحكام هذه الاتفاقية, تلقائيًا إلى الحد المطبق, شروط وأحكام هذه الاتفاقية, وتخضع فقط لتلك الشروط والأحكام ولا تخضع لأي شروطٍ متعارضة أو إضافية المضمّنة في أية وثائق يتم تبادلها فيما يتعلق بهذه الاتفاقية.
16. CANCELLATION OF ORDERS	16. إلغاء الطلبيات
All cancellation of orders by Distributor shall be in writing, or if not initially in writing, shall be confirmed in writing.	يجب أن تتم كافة عمليات إلغاء الطلبيات من قبل الموزع كتابيًا, أو إذا لم تكن كتابية في بدء الامر, يجب أن تأكيدها كتابيًا.
If Distributor cancels an order, which has been accepted by Company, Distributor shall reimburse Company for any cost incident to such order incurred by Company prior to the time it was informed of the cancellation.	في حالة إلفاء الموزع إحدى الطلبيات, التي قبلتها الشركة, يتعين على الموزع تعويض الشركة عن أي تكلفة ناشئة عن هذه الطلبية تكبدتها الشركة قبل إبلاغها بالإلغاء.

21. ENTIRE AGREEMENT	21. الاتفاق الكامل
This Agreement contains the entire understanding of the parties and there are no commitments, agreements, or understandings between the parties other than those expressly set forth herein.	تحتوي هذه الاتفاقية على الاتفاق الكامل من الطرفين ولا توجد تعهدات أو اتفاقيات أو اتفاقات بين الطرفين بخلاف تلك الموضحة صراحة في هذه الاتفاقية.
This agreement shall not be altered, waived, modified, or amended except in writing signed by the parties hereto and notarized.	يجب عدم تبديل هذه الاتفاقية أو التنازل عنها أو تغييرها أو تعديلها مالم يتم ذلك كتابيًا والتوقيع عليه من طرفي الاتفاقية وتوثيقة بسجل كاتب العدل.
22. ARBITRATION	22. التحكيم
Any controversy or claim arising out of or relating to this contract or the breach thereof shall be settled by arbitration to be held in the Dubai UAE, in accordance with the law in this jurisdiction, and judgment upon the award rendered by the arbitrators may be entered in any Court having jurisdiction thereof.	يتم تسوية أي نزاع أو ادعاء ينشأ عن أو يتعلق بهذا العقد أو الإخلال به عن طريق التحكيم الذي يُعقد في دبي بالإمارات العربية المتحدة, وفقًا للقانون في هذا الاختصاص القضائي, ويجوز لأي محكمة ذات اختصاص قضائي بهذه الاتفاقية إصدار حكمًا استنادًا إلى القرار الصادر عن المحكمين.
23. SECRECY	23. السرية
Distributor agrees not to disclose or use, except as required in Distributor's duties, at any time, any information disclosed to or acquired by Distributor during the term of this contract.	يوافق الموزع على هدم الإفصاح أو استخدام, باستثناء في أداء الموزع لواجباته, في أي وقت, أي معلومات تم الإفصاح عنها أو حصل عليها الموزع خلال مدة هذا العقد.
Distributor agrees that all confidential information shall be deemed to be and shall be treated as a sole and exclusive property of the Company.	يوافق الموزع على أن يعتبر أو يعامل كافة المعلومات السرية على أنها ملكية حصرية وفردية للشركة.
IN WITNESS WHEREOF, the parties have executed this Agreement on 26.10.2014	وإثباتًا لما تقدم, أبرم الطرفان هذه الاتفاقية في الموافق 26.10.2014
